1. Réservation et confirmation
Toute réservation est considérée comme ferme uniquement après signature du devis et versement d’un acompte de 50% du montant total. À défaut, SUNCOOL SXM se réserve le droit de louer le matériel à un autre client.
2. Paiement
Le solde est exigible au plus tard à la livraison et au montage du matériel. Les paiements peuvent être effectués par virement bancaire, chèque ou espèces.
Clients privés : règlement au plus tard 30 jours après réception de facture.
Associations : règlement au plus tard 30 jours après réception de facture.
Services publics, collectivités et administrations : règlement au plus tard 90 jours après réception de facture.
3. Caution et responsabilité
Une caution (chèque ou espèces, non encaissée) peut être demandée selon la valeur du matériel loué. Le client est responsable du matériel dès sa livraison et jusqu’à sa restitution. Tout dommage, perte ou vol sera facturé au client sur la base de la valeur de remplacement du matériel.

4. Livraison et installation
SUNCOOL SXM s’engage à livrer le matériel loué à la date et à l’heure convenues, en respectant les quantités spécifiées dans le devis accepté. L’entreprise garantit également le montage des tentes et structures conformément aux instructions, règles de sécurité et normes en vigueur.
Le client doit s’assurer que le site est accessible et adapté à l’installation. En cas de retard ou de difficulté causée par le client, des frais supplémentaires pourront être facturés.

5. Utilisation du matériel
Le matériel loué doit être utilisé conformément à sa destination et dans des conditions normales de sécurité. Le client s’engage à en faire un usage raisonnable et à prévenir SUNCOOL SXM en cas de problème ou de détérioration.
6. Interdiction de démontage par le client
Le client s’interdit formellement de démonter, déplacer ou modifier les tentes et structures installées par SUNCOOL SXM. Toute intervention non autorisée est strictement interdite. En cas de non-respect, le client sera responsable de tous dommages, pertes ou accidents en résultant, et prendra en charge les frais de réparation ou de remplacement.
7. Responsabilité civile
SUNCOOL SXM est couvert par une assurance responsabilité civile professionnelle pour les dommages matériels et corporels pouvant résulter de son intervention (livraison, montage, installation). Toutefois, la responsabilité de SUNCOOL SXM ne saurait être engagée en cas de mauvaise utilisation du matériel par le client, d’installation non conforme aux consignes de sécurité transmises, ou de dommages causés par des tiers ou des événements extérieurs (vandalisme, intempéries, catastrophes naturelles).
8. Restitution
Le démontage et la reprise du matériel sont assurés exclusivement par SUNCOOL SXM selon les modalités convenues. Tout retard ou obstacle causé par le client lors de la reprise pourra entraîner une facturation supplémentaire.
9. Annulation
En cas d’annulation par le client moins de 7 jours avant la date prévue de l’événement, l’acompte reste acquis à SUNCOOL SXM à titre d’indemnité forfaitaire.
10. Retard de paiement
Toute facture non réglée à l’échéance entraîne, conformément aux articles L441-10 et suivants du Code de commerce, une pénalité de 10% du montant dû par mois de retard, ainsi qu’une indemnité forfaitaire de 40 € pour frais de recouvrement.
11. Force majeure
SUNCOOL SXM ne saurait être tenue responsable en cas d’impossibilité d’exécution due à un cas de force majeure tel que défini par l’article 1218 du Code civil (catastrophe naturelle, cyclone, grève, accident, etc.).
12. Droit applicable et juridiction compétente
Les présentes conditions sont soumises au droit français applicable à Saint-Martin.
En cas de litige, et à défaut de règlement amiable, compétence expresse est attribuée aux tribunaux compétents de Basse-Terre (Guadeloupe).
General Terms and Conditions of Rental
1. Reservation and Confirmation
Any reservation is considered binding only after the quote has been signed and a deposit of 50% of the total amount has been paid. Otherwise, SUNCOOL SXM reserves the right to rent the equipment to another client.
2. Payment
The balance is due no later than at the time of delivery and installation of the equipment. Payments may be made by bank transfer, check, or cash.

Private clients: payment no later than 30 days after receipt of invoice.

Associations: payment no later than 30 days after receipt of invoice.

Public services, local authorities, and administrations: payment no later than 90 days after receipt of invoice.
3. Deposit and Responsibility
A deposit (by check or cash, not cashed) may be requested depending on the value of the rented equipment. The client is responsible for the equipment from the time of delivery until its return. Any damage, loss, or theft will be invoiced to the client based on the replacement value of the equipment.
4. Delivery and Installation
SUNCOOL SXM undertakes to deliver the rented equipment on the agreed date and time, respecting the quantities specified in the accepted quote. The company also guarantees the assembly of tents and structures in accordance with instructions, safety rules, and applicable standards.
The client must ensure that the site is accessible and suitable for installation. In the event of delay or difficulty caused by the client, additional fees may be charged.
5. Use of the Equipment
The rented equipment must be used in accordance with its intended purpose and under normal safety conditions. The client undertakes to use it responsibly and to immediately inform SUNCOOL SXM in case of any problem or deterioration.
6. Prohibition of Dismantling by the Client
The client is strictly prohibited from dismantling, moving, or modifying the tents and structures installed by SUNCOOL SXM. Any unauthorized intervention on the equipment is strictly forbidden. In case of non-compliance, the client will be held liable for all resulting damages, losses, or accidents, and will bear the full cost of repair or replacement.
7. Civil Liability
SUNCOOL SXM is covered by professional liability insurance for material and bodily damage that may result from its intervention (delivery, assembly, installation). However, SUNCOOL SXM cannot be held liable in case of misuse of the equipment by the client, installation not conforming to safety instructions provided, or damage caused by third parties or external events (vandalism, weather conditions, natural disasters).
8. Return of Equipment
The dismantling and collection of the equipment are carried out exclusively by SUNCOOL SXM according to the terms agreed in the quote. Any delay or obstacle caused by the client at the time of collection may result in additional charges.
9. Cancellation
In the event of cancellation by the client less than 7 days before the scheduled date of the event, the deposit paid shall remain acquired by SUNCOOL SXM as a flat-rate indemnity.
10. Late Payment
Any invoice not settled by its due date shall automatically incur a penalty of 10% of the total amount due per month of delay, as well as a flat-rate compensation of €40 for recovery costs, in accordance with Articles L441-10 and following of the French Commercial Code.
11. Force Majeure
SUNCOOL SXM shall not be held liable in case of non-performance due to a force majeure event as defined by Article 1218 of the French Civil Code (natural disaster, cyclone, strike, accident, etc.).
12. Applicable Law and Jurisdiction
These terms and conditions are governed by French law applicable in Saint Martin.
In case of dispute, and failing an amicable resolution, the courts of Basse-Terre (Guadeloupe) shall have exclusive jurisdiction.
